1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the XEQMLabs website, developer platform, APIs, reference applications, and all related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You must be at least 18 years of age, or the age of majority in your jurisdiction if older, to use the Services.

2. Description of Services

XEQMLabs provides:

• This website and any content published on it
• A developer platform and API for building privacy-native applications
• Reference applications (including but not limited to XEQMSwap, XEQMOracle, XEQMIdent, XEQMVault, XEQMPay, XEQMSource, XEQMSurvey, XEQMPulse, and future applications built on the platform)
• Documentation, community resources, and developer tooling

The XEQM cryptocurrency network is a public, decentralized network. XEQMLabs does not operate or control the network, validators, or any on-chain assets.

3. Nature of the Services -- No Custody, No Financial Advice

Self-Custody: XEQMLabs does not hold, custody, or control your funds, private keys, or wallet contents. You are solely responsible for securing your private keys, seed phrases, and access credentials. Loss of keys or credentials may result in permanent, irrecoverable loss of access to your assets.

No Financial Advice: Nothing on the Site or in the Services constitutes financial, investment, legal, or tax advice. XEQM coins are utility coins used to access platform functionality. You should consult qualified professionals before making decisions involving cryptocurrency.

Not a Security: XEQMLabs does not offer, sell, or solicit investment in securities. XEQM is a utility coin that powers the XEQM network and grants access to platform APIs.

4. Risks You Accept

By using the Services, you acknowledge and accept the following risks:

• Volatility: The value of XEQM and other cryptocurrencies can fluctuate substantially and may drop to zero
• Irreversibility: Cryptocurrency transactions are generally irreversible; sending funds to an incorrect address may result in permanent loss
• Technology Risk: Blockchain software is experimental; bugs, forks, exploits, or network failures may cause loss
• Regulatory Risk: Cryptocurrency regulations vary by jurisdiction and may change in ways that affect your ability to use the Services
• Counterparty Risk: Interacting with third-party applications, exchanges, or bridges involves risks outside of XEQMLabs's control
• Availability Risk: The Services may be unavailable due to maintenance, attack, or events beyond our control

5. Developer Platform and API

Access to the developer platform is subject to tier requirements, including staking XEQM. You agree that:

• You will use the API only for its intended purposes and within the limits of your tier
• You will not attempt to circumvent rate limits, security controls, or abuse prevention measures
• You will not use the API to build applications that violate applicable law, infringe the rights of others, or damage the reputation of XEQMLabs
• Staked XEQM is a commitment mechanism; stake amounts remain under your control and can be withdrawn subject to applicable unstaking procedures
• XEQMLabs may suspend or terminate API access for violations of these Terms

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right
• Engage in money laundering, sanctions evasion, terrorist financing, or other illegal financial activity
• Facilitate the distribution of child sexual abuse material, human trafficking, or other prohibited content
• Engage in fraud, theft, or deception of any person
• Interfere with or disrupt the Services, servers, or networks
• Attempt to gain unauthorized access to any account, system, or data
• Reverse engineer, decompile, or disassemble the Services except as permitted by law
• Impersonate XEQMLabs, its team members, or any other person or entity

Privacy is a right, not a license for criminality. We build privacy tools for legitimate use. Abuse of the Services will be referred to the appropriate authorities where legally required.

7. Intellectual Property

XEQMLabs, the XEQMLabs name and logo, the XEQM name, and all associated branding are the intellectual property of XEQMLabs and its contributors. You may not use our trademarks, logos, or branding without our prior written consent.

Open-source software released by XEQMLabs is licensed under the terms of the applicable open-source license. Content on the Site may be used for personal, non-commercial reference with attribution.

8. Third-Party Services and Links

The Services may link to or integrate with third-party websites, applications, or services. XEQMLabs does not control and is not responsible for those third parties. Your use of them is at your own risk and subject to their terms.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, XEQMLABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

XEQMLabs does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components. XEQMLabs does not warrant the accuracy of any content, including price data, documentation, or third-party information.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XEQMLABS AND ITS CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF XEQMLABS EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO XEQMLABS IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

11. Indemnification

You agree to indemnify, defend, and hold harmless XEQMLabs, its contributors, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

XEQMLabs may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Services at any time. Sections intended to survive termination (including disclaimers, limitations of liability, and indemnification) will continue to apply.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated through our standard channels and reflected by updating the "Last updated" date above. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which XEQMLabs's primary operations are based, without regard to conflict-of-law principles. Any dispute arising out of these Terms shall be resolved through good-faith negotiation, and if not resolved, through binding arbitration, except where prohibited by law.

You agree that any dispute will be brought on an individual basis and not as part of a class action.

15. Miscellaneous

These Terms constitute the entire agreement between you and XEQMLabs regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent.
